Share Registry Systems

  • MShare - A superior solution for transfer agency and shareholder record-keeping that allows us to easily control all shareholder communication, including account activity, shareholder profiles and contact history. MShare supports back-office effectiveness and provides us with the functionality to accurately manage shareholder data, deliver great customer service and build astute reports.

  • Taskforce –Is used in leading off-shore financial jurisdictions and is also an advanced data maneuvering and relocation software.

Portfolio Management

  • Axys by Advent - Advent is the industry model investment management software. Transaction information is uploaded directly into our general ledger system.

  • Taskforce – This wealth management system was first released in 1995 and has been constantly improving since then. This system produces accurate financial statements from transaction data which is uploaded directly to taskforce.

Pricing and Research Service

  • Bloomberg – We use Bloomberg to price all listed securities and as such verify the price of all listed securities independently of investment managers and other service providers. We also have the ability to conduct portfolio and risk analytics; research historical financial news and information and keep abreast of current events.

Anti-Money Laundering and the Countering of Terrorist Financing

  • Bridger Insight Online System - Assists us in attempting to ensure that the investors in the funds under our administration and all of our clients are fit and proper. The system allows us to access Choice Point’s database of 20 billion records (including the OFAC and other watch lists) and delivers an abundance of individual and entity identity data. Various results are presented in an understandable format. The reports includes risk-scores which correspond to a colour-coded (high/medium/low) "risk meter". As such, we ensure that we do not knowingly conduct business with known financiers of terrorism, money launderers and the like.

We fully embrace the importance of observing industry best practices regarding good corporate governance. The company offers both individual and corporate secretaries.

The Bahamas government is constantly updating its financial services legislation. Premier is subject to regulation by the Securities Commission of The Bahamas and the Inspector of Financial and Corporate Services and as such is required to strictly comply with Bahamian laws and regulations on the prevention of money laundering and terrorist financing, as well as with guidelines issued by the Securities Commission of The Bahamas on that subject. In compliance with such laws and guidelines, Premier has formulated with great care and nicety of detail its respective procedures and policies and constantly reviews and adapts the same when necessary.

Premier has appointed a Money Laundering and Reporting Officer, who acts as a central point of contact with the Financial Intelligence Unit in order to handle the reported suspicions of staff members regarding money laundering. Premier has also appointed a compliance officer to ensure compliance with the laws of The Bahamas. Additionally, Premier applies Know Your Customer identification rules in accordance with Bahamian laws and is legally bound to keep the documents evidencing clients’ identity at least six years after the end of the relationship. Premier provides appropriate training on the prevention measures to our employees on a regular basis.

As an added measure, Premier performs checks to ensure that none of its clients is from a list of prohibited countries or territories maintained by the Financial Action Task Force or the US Office of Foreign Assets Control.

In accordance with applicable laws and regulations, including privacy and data protection laws, Premier fully co-operates with governmental and law enforcement authorities.

The above only reflects Premier’s current legal obligations and Premier reserves the right to adapt its procedures at all times to the legal or regulatory framework and professional guidelines in place from time to time in The Bahamas.

Premier is committed to maintaining the books and record of its clients, including the register of members and the register of shares. As a corollary to this, Premier updates its clients’ records as necessary to ensure that at all times the records are accurate. Premier records all share activity, including the subscription, transfer, cancellation or redemption of shares. Additionally, Premier records and enters the name, address, nationality, citizenship, place of legal residence, and occupation of all members of its clients and the number of shares or fractions thereof owned by such members on the register of shares and the date on which such information was entered on the register. Timely and accurate communication with clients is crucial and as such, Premier prepares and dispatches to its clients reports containing all relevant information relating to the sales, compulsory redemptions, conversions, or transfers of shares transacted since the date of the previous report as well as cash distributions to members of its clients, as instructed by them respectively.

We are licenced by the Inspector of Financial and Corporate Service Providers and therefore, we:

  • Form IBCs or limited duration companies

  • Provide registered office, principal office and headquarter facilities

  • Supply nominee shareholders, officers and directors

  • Receive corporate assets and open bank, custody and brokerage accounts

  • Maintain corporate accounting and statutory records and pay regular fees

  • Respond promptly to all client inquiries
